Welcome to the PlanBridge Investor Data Room (the “Site”), operated by PlanBridge, LLC (“PlanBridge,” “we,” “us,” or “our”). This Site provides invited users with controlled access to confidential business information for evaluation and due diligence purposes.

By accessing or using this Site, you agree to be bound by these Terms of Use. If you do not agree, you must not access the Site.

1. Access Eligibility

Access to this Site is invitation-only. User accounts are created and issued by PlanBridge. There is no public registration.

You represent that:

      • You are authorized to review confidential business information, and

      • You are accessing the Site solely for evaluation, investment, advisory, or diligence purposes.

    2. Confidential Information

    All materials made available on this Site are confidential and proprietary to PlanBridge, LLC, including but not limited to:

        • Business plans, financials, projections

        • Technical documentation

        • Legal, corporate, and operational materials

        • Any communications exchanged via the Site

      You agree:

          • Not to copy, distribute, reproduce, or disclose any content without prior written consent

          • To use the information solely for internal evaluation purposes

          • To apply reasonable safeguards to protect the confidentiality of the information

        3. NDA Requirement

        Certain materials are accessible only after execution of a Non-Disclosure Agreement (NDA).

        By electronically signing the NDA through the Site:

            • You agree to its terms as a binding legal contract

            • Your access level may be expanded automatically

            • A copy of the executed NDA will be stored in your private user folder

          4. Permitted Use

          You may:

              • View documents through the Site’s interface

              • Upload documents only to your designated private folder

            You may not:

                • Download, scrape, or systematically capture Site content

                • Share login credentials

                • Attempt to bypass access controls

                • Reverse engineer, probe, or test Site security

              5. User Uploads

              Each user is provided a private upload area. You retain ownership of documents you upload but grant PlanBridge a non-exclusive right to access them for diligence and communication purposes.

              You agree not to upload:

                  • Malware or harmful code

                  • Content you do not have the right to share

                  • Sensitive personal data unless explicitly requested

                6. No Investment Solicitation

                Materials on this Site:

                    • Do not constitute an offer to sell or a solicitation to buy securities

                    • Are provided for informational and evaluation purposes only

                  Any investment decision will be governed by separate definitive agreements.

                  7. Intellectual Property

                  All Site content, software, design, trademarks, and documentation are the exclusive property of PlanBridge, LLC and are protected by applicable intellectual property laws.

                  8. Monitoring & Audit

                  PlanBridge may log and monitor access to the Site, including:

                      • Login events

                      • Document access

                      • NDA execution events

                    This monitoring is for security, compliance, and audit purposes.

                    9. Termination of Access

                    PlanBridge reserves the right to suspend or revoke access at any time, with or without notice, particularly in cases of:

                        • Breach of these Terms

                        • Unauthorized disclosure

                        • Security concerns

                      10. Disclaimers

                      The Site and its contents are provided “as is.” PlanBridge makes no representations or warranties regarding completeness or accuracy.

                      11. Limitation of Liability

                      To the fullest extent permitted by law, PlanBridge shall not be liable for any indirect, incidental, or consequential damages arising from Site use.

                      12. Governing Law

                      These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
